Important Legal Agreement

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL INCORPORATED POLICIES. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 19) THAT AFFECT YOUR LEGAL RIGHTS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Silicon Youth LLC, a New York limited liability company ("Silicon Youth," "SY," "Company," "we," "us," or "our"), governing your access to and use of our website, applications, platform, and services (collectively, the "Services").

By accessing or using our Services, creating an account, submitting an application, clicking "I agree," or otherwise indicating acceptance, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

3Description of Services

Silicon Youth operates as a business enablement platform and creative services agency with a film and production heritage, offering services across nine domains — Formation, Finance, Digital, Creative, Production, Talent, Operations, Communications, and Membership.

Formation

Business formation, entity filing, registered agent, and compliance support.

Finance

Bookkeeping, payroll, tax preparation, invoicing, and financial reporting.

Digital

Domain registration, business email, hosting, and website development.

Creative

Brand strategy, visual identity, web design, and content creation.

Production

Film and video production, photography, post-production, and animation.

Talent

Talent representation, casting services, and portfolio management.

Operations

Virtual and executive assistants, fractional executives, and project management.

Communications

Marketing strategy, public relations, and brand communications.

Membership

Member accounts, tiers, and access to the Silicon Youth network.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice or liability. The specific services provided to you will be governed by any separate agreements, statements of work, or contracts entered into between you and Silicon Youth.

4Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years of age (or 16 with verified parental consent for talent representation)
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using our Services under applicable law
  • You have not been previously suspended, removed, or banned from our Services
  • All information you provide is accurate, current, and complete
  • You will maintain the accuracy of such information
  • If acting on behalf of an organization, you have authority to bind that organization

Minor Talent: For users between 16-18 years of age seeking talent representation, a parent or legal guardian must complete the application, sign all agreements, and remain actively involved in all business decisions and communications throughout the representation period.

5User Accounts

Account Creation

  • Provide accurate and complete information
  • Keep your login credentials secure
  • Verify your email address
  • Complete any required identity verification

Account Security

  • You are responsible for all activity under your account
  • Never share your login credentials
  • Notify us immediately of unauthorized access
  • Enable additional authentication factors when available

We reserve the right to suspend, disable, or terminate accounts at our sole discretion, including but not limited to cases of suspected fraud, violation of these Terms, or inactivity. You may not transfer your account to any other person or entity without our prior written consent.

6Communications Consent

BY USING OUR SERVICES AND PROVIDING YOUR CONTACT INFORMATION, YOU CONSENT TO RECEIVE COMMUNICATIONS FROM SILICON YOUTH BY EMAIL, INCLUDING TRANSACTIONAL, ACCOUNT, AND (WITH SEPARATE CONSENT) MARKETING MESSAGES.

You consent to receive emails regarding:

  • Account verification, security alerts, and transactional notices
  • Application status updates and onboarding communications
  • Contract documents and opportunity notifications
  • Service announcements, policy updates, and legal notices
  • Marketing communications and promotional materials (with separate consent)

Electronic Signature Consent: You agree that your electronic signature on agreements, contracts, and other documents has the same legal force as a physical signature. Opt-Out: You may unsubscribe from marketing emails at any time via the unsubscribe link; transactional emails cannot be opted out of while your account is active.

7Talent Representation Services

Where offered, Silicon Youth provides representation services for actors, models, content creators, and production crew. Additional terms apply to talent representation:

  • Non-Exclusive Representation: Unless otherwise specified in a separate agreement, representation arrangements are non-exclusive unless you sign an exclusive representation agreement.
  • Commission Structure: Commission rates are specified in your representation agreement. We earn commission only when you earn income.
  • No Employment Guarantee: We do not guarantee any specific number of bookings, auditions, or income. Representation is not a promise of employment or specific opportunities.
  • Professional Conduct: Represented talent must conduct themselves professionally. Unprofessional behavior may result in termination of representation.
  • Availability & Updates: You must maintain accurate availability and notify us promptly of changes that may affect your representation.

Separate Agreement: Talent representation is governed by a separate Representation Agreement that you will be required to sign during onboarding. In case of conflict between these Terms and the Representation Agreement, the Representation Agreement controls for matters specific to talent representation.

8Applications & Onboarding

By submitting an application to our platform, you agree that:

  • All information provided is true, accurate, complete, and not misleading
  • You have the right to submit all materials (photos, videos, documents) and they do not infringe third-party rights
  • You consent to identity verification through our third-party provider (Didit), including submission of government identification and biometric data (see our Privacy Policy)
  • Application submission does not guarantee acceptance or representation
  • We may reject any application at our sole discretion without providing a reason
  • Rejected applications may be retained for compliance purposes and to allow future reapplication
  • You grant us a license to use your submitted materials for evaluation purposes

False Information: Providing false, misleading, or fraudulent information in your application is grounds for immediate rejection, termination of any existing relationship, and may result in legal action. We may report suspected fraud to appropriate authorities.

9Acceptable Use Policy

You agree NOT to use the Services to:

Violate any applicable law, regulation, or third-party rights
Submit false, misleading, or fraudulent information
Impersonate any person or entity or misrepresent your affiliation
Harass, abuse, threaten, or discriminate against any person
Transmit viruses, malware, or other harmful code
Attempt to gain unauthorized access to any systems or accounts
Interfere with the proper functioning of the Services
Use automated means (bots, scrapers) without permission
Circumvent any security measures or access controls
Collect or harvest user information without consent
Use the Services for any illegal or unauthorized purpose
Engage in any activity that could damage our reputation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, cancellation of any agreements, and legal action where appropriate.

10User Content

"User Content" means any content you submit, post, upload, or transmit through our Services, including photographs, videos, portfolios, profiles, resumes, messages, and other materials.

License Grant

By submitting User Content, you grant Silicon Youth a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with operating and providing our Services, promoting our business, and fulfilling our representation services (including sharing your portfolio with potential clients).

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third-party rights (copyright, trademark, privacy, publicity)
  • Your User Content does not contain illegal, harmful, or objectionable material
  • You have obtained all necessary consents and releases for any individuals appearing in your content

We may remove or disable access to any User Content at our sole discretion, including content that violates these Terms or that we deem harmful, objectionable, or otherwise inappropriate.

11Intellectual Property

The Services and all content, features, and functionality (including all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Silicon Youth, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Silicon Youth," "SY," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Silicon Youth or its affiliates. You may not use such marks without our prior written permission.

Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include any right to resell or commercially exploit the Services or any content therein.

12Fees & Payments

Certain Services require payment of fees. By purchasing or subscribing to paid Services, you agree to pay all applicable fees and taxes. Specific fee structures are detailed in service agreements and our pricing pages.

  • Payment Processing:Payments are processed through Stripe. We do not store raw credit card data — payment information is tokenized through Stripe's PCI DSS-compliant infrastructure.
  • One-Time & Subscription: We support both one-time purchases and recurring subscriptions via Stripe. Subscriptions automatically renew unless cancelled before the renewal date; you may cancel through your account settings.
  • Refunds: Unless otherwise specified or required by law, fees are non-refundable. Specific refund policies may be detailed in service agreements.
  • Price Changes: We may modify pricing at any time. Price changes for subscriptions take effect at the next renewal period following notice.
  • Talent Commissions: Where talent representation applies, commissions are handled per the terms of the applicable Representation Agreement.
  • Late Payments: Late payments may incur interest charges and may result in suspension of Services.

13Third-Party Services

Our Services integrate with third-party providers that have their own terms and privacy policies. We are not responsible or liable for the availability, accuracy, content, products, or services of third parties, and your use of them is at your own risk. The key third-party services we integrate with are:

  • Auth0 — Authentication, single sign-on, and identity management
  • Supabase — Postgres data storage (US region) with row-level security
  • Stripe — Payment processing (one-time and subscription billing)
  • Didit — KYC/AML identity verification via a hosted flow
  • PostHog — Product analytics
  • Vercel Analytics — Web/usage analytics
  • Resend — Transactional email delivery
  • Vercel — Website hosting and content delivery

14Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, we do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Any defects will be corrected
  • The Services are free of viruses or harmful components
  • The results from using the Services will meet your requirements
  • Any talent representation will result in bookings, income, or specific opportunities

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

15Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • 1. EXCLUSION OF CONSEQUENTIAL DAMAGES: IN NO EVENT SHALL SILICON YOUTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • 2. CAP ON LIABILITY: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
  • 3. NO LIABILITY FOR USER CONTENT: WE ARE NOT LIABLE FOR ANY USER CONTENT, INCLUDING ANY ERRORS, DEFAMATION, OR ILLEGAL CONDUCT BY USERS.
  • 4. NO LIABILITY FOR THIRD PARTIES: WE ARE NOT LIABLE FOR ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING CLIENTS, PRODUCTION COMPANIES, OR OTHER INDUSTRY PARTNERS.

The limitations in this section apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise). Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

16Indemnification

You agree to defend, indemnify, and hold harmless Silicon Youth, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Your User Content
  • Any false, misleading, or fraudulent information you provide
  • Your conduct during any bookings, productions, or engagements facilitated through our Services
  • Any dispute between you and any third party, including clients or other users

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us in asserting any available defenses. You may not settle any claim without our prior written consent.

17Termination

Termination by You

You may terminate your account at any time by contacting us. Termination does not relieve you of any obligations incurred prior to termination.

Termination by Us

We may suspend or terminate your access to the Services at any time, for any reason, including violation of these Terms, without prior notice or liability.

Effect of Termination:

  • Your right to use the Services will immediately cease
  • We may delete or retain your data as described in our Privacy Policy
  • Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnification, and arbitration) will survive termination
  • Any outstanding fees remain payable
  • Talent representation agreements may have separate termination provisions

18Governing Law

These Terms and any dispute arising from or relating to these Terms or your use of the Services shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Subject to the arbitration provisions below, any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the federal or state courts located in New York County, New York, and you consent to personal jurisdiction and venue in such courts.

19Arbitration Agreement & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

19.1 Agreement to Arbitrate

You and Silicon Youth agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (collectively, "Disputes") will be resolved exclusively through binding individual arbitration rather than in court, except that:

  • You may assert claims in small claims court if your claims qualify
  • Either party may seek injunctive relief in court to prevent irreparable harm

19.2 Arbitration Rules

Arbitration will be conducted by JAMS under its Comprehensive Arbitration Rules and Procedures (or Streamlined Rules for claims under $250,000). The arbitration will be held in New York, NY, unless you and Silicon Youth agree otherwise. The arbitrator's decision will be final and binding.

19.3 Class Action Waiver

YOU AND SILICON YOUTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

19.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@siliconyouth.com within 30 days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law and jurisdiction provisions will apply.

19.5 Severability

If the class action waiver is found unenforceable, then the entirety of this arbitration provision shall be null and void. If any other provision of this arbitration agreement is found unenforceable, the remaining provisions shall remain in effect.

20General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Silicon Youth regarding the Services.

Severability

If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver. Any waiver must be in writing and signed by an authorized representative.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. These Terms bind and inure to the benefit of the parties and their successors.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, pandemic, or Internet disruptions.

No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Silicon Youth.

Headings: The section headings in these Terms are for convenience only and have no legal effect.
Language: These Terms are written in English. Any translations are provided for convenience only, and the English version controls.

21Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by:

  • Posting the updated Terms on this page with a new "Last Updated" date
  • Sending an email to your registered email address
  • Displaying a prominent notice on our website or within the Services

Material changes will be effective 30 days after posting, unless we indicate otherwise. Your continued use of the Services after any changes indicates your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

Notices to Silicon Youth: Any notices required under these Terms must be sent to the address above or to legal@siliconyouth.com. Notices are deemed received upon personal delivery, the next business day after sending by overnight courier, three business days after mailing by certified mail, or upon confirmed delivery of email. See also our Privacy Policy.

23Compliance & Security Commitments

Silicon Youth maintains the following compliance and security commitments to protect your data and ensure the integrity of our platform:

GDPR

General Data Protection Regulation compliance for EU data subjects, including data subject rights and lawful processing.

CCPA/CPRA

California Consumer Privacy Act compliance, including the right to know, delete, correct, and opt out.

PCI DSS (via Stripe)

Payment card data is tokenized through Stripe's PCI DSS-compliant infrastructure — no raw card data is stored on Silicon Youth systems.

Regulated-Data Isolation

KYC/AML data is isolated, access-controlled, audited, and retention-bounded.

  • Encryption: Sensitive data is encrypted in transit (TLS) and at rest.
  • Access Controls: Row-level security (Supabase RLS) and least-privilege access ensure data access is limited to authorized roles.
  • Assessments: We review our security posture as our platform evolves.
